Terms of Service
These Terms govern your use of Reactivate, an AI lead reactivation service provided by QuoteLeads (ABN 83 894 208 171) ("we", "us", "our"). Reactivate includes this website, the client dashboard, and the SMS, AI and calling services we run for you (together, the "Service"). By booking a demo, creating an account, uploading leads or otherwise using the Service, you agree to these Terms. If you use the Service for a business, "you" means that business, and you confirm you're authorised to bind it.
1. Definitions
- Order: the written agreement between us about your campaign (for example a proposal, quote or email you accept), including your billing plan, prices and Anchor Points. If an Order conflicts with these Terms, the Order wins to the extent of the conflict.
- Lead: a person whose details you give us so that we can contact them for you. Lead Data is information about Leads, including their messages, answers and call transcripts.
- Anchor Point: a result agreed in your Order that you pay for on the Performance plan. Unless your Order says otherwise, the Anchor Point is a Booked Callback.
- Booked Callback: a time for a person from your business to call a Lead, agreed by that Lead with our AI agent (by SMS or on a call) and recorded in your dashboard. Each Lead can only be one Booked Callback: moving the time does not create another, and callbacks your own team enters by hand are not Booked Callbacks.
- Credits: prepaid units used on the Credits plan, as described in section 7.
2. The Service
Reactivate is a done-for-you service. We set up your campaign, send an introductory SMS to your Leads from a phone number we manage, hold the conversation using AI, ask your qualifying questions, and book callbacks for your team. If a Lead calls that number, an AI voice agent may answer the call. We do not make outbound sales calls; your team makes the callbacks. We may change, improve or remove features over time, and we do not guarantee the Service will be uninterrupted or error-free.
3. Accounts
We may give you and your staff logins to the dashboard. You are responsible for keeping login details confidential, for all activity under your logins, and for telling us promptly if you suspect unauthorised access. You must be at least 18 years old.
4. Your leads and consent
You are responsible for the lists you give us. For every list, you confirm and warrant that:
- each Lead enquired with your business and has consented (expressly, or in a way that can reasonably be inferred under the Spam Act 2003 (Cth)) to receive commercial electronic messages from your business about the products or services they enquired about, and has not withdrawn that consent;
- you collected their personal information lawfully under the Privacy Act 1988 (Cth), including the Australian Privacy Principles where they apply to you, and your privacy policy or collection notice allows you to disclose it to service providers like us for this purpose;
- you have removed anyone who has asked you not to contact them, and you will tell us promptly about any opt-out you receive directly;
- the list does not include purchased, rented or scraped contact details, or anyone you know to be under 18; and
- you will not include sensitive information (such as health information) unless it is necessary for the campaign and you have the consent required by law.
You record this confirmation when you, or we on your instructions, upload each list. We may refuse, pause or stop any campaign if we reasonably believe a list does not meet these requirements, or if it attracts complaints or carrier action.
You are responsible for the scripts, offers and qualifying questions you approve, and for complying with laws and codes that apply to your industry (for example, rules about financial or credit advice, insurance, legal services, and the advertising of health and cosmetic services).
5. Messages, calls and opt-outs
- Each introductory message identifies your business and tells the Lead how to opt out.
- Opt-outs are processed automatically, and a number that opts out is not messaged again from our number for any client. We keep a record of opt-outs for this purpose, including after your account ends.
- Messages are only sent within the sending hours set for your campaign. Replies to Leads may be sent outside them.
- Calls answered by our AI voice agent are transcribed, and the agent tells the caller at the start that it is an AI assistant and that the call is transcribed. We do not keep audio recordings.
- Several clients may use the same phone number. We match each reply to the right client using the Lead's phone number, and you will only see your own Leads.
6. AI
The Service uses artificial intelligence to write messages, understand replies, answer calls and summarise conversations. AI can make mistakes. It may misunderstand a Lead, give an inaccurate answer, or miss an Anchor Point. You can watch every conversation live, step in at any time, and pause the AI for any Lead. The AI is instructed not to give financial, legal or medical advice, not to make up prices or promises, and to say it is an AI assistant if asked. You must not instruct it otherwise. AI output is not professional advice, and you should check anything important with the Lead on the callback.
7. Fees and payment
Your billing plan, prices and Anchor Points are set out in your Order. Prices are in Australian dollars and exclude GST. GST is added on top where it applies, and your receipt shows it separately. We use Stripe to take payments; we never see or store your full card number.
Performance plan
- There is no setup fee and no retainer. You pay only for Anchor Points reached, at the price in your Order.
- You give us a card when you start and authorise us to charge it for Anchor Points reached. We charge it weekly, for Anchor Points more than 48 hours old.
- You may dispute an Anchor Point within 48 hours of it being recorded, through your dashboard or by email, with your reason (for example, the Lead says they did not book, the number belongs to someone else, or the Lead was already your customer). We review disputes in good faith and won't charge a disputed Anchor Point while it's under review. If we waive it, you are not charged.
- A Booked Callback remains chargeable if the Lead does not answer your call, does not attend, or does not buy. Turning a booked callback into a sale is up to your business.
- If your Order sets a monthly cap, Anchor Points over the cap in a calendar month are not charged.
- If a payment fails, we may pause new introductory messages until it is resolved. Conversations already underway may continue. Amounts for Anchor Points already reached remain payable.
Credits plan
- Credits are bought in advance. One credit is used for each SMS segment sent or received (a segment is up to 160 standard characters, or 70 if the message contains emoji or certain special characters). Calls use the number of credits per minute set out in your Order.
- When your balance reaches zero, new introductory messages stop. Conversations already underway may continue for a short time and use credits below zero, which are deducted from your next purchase.
- Credits do not expire while your account is open. They are not refundable or transferable, except as required by law, or if we end the Service under section 16 for reasons other than your breach, in which case we will refund unused Credits.
Changes to prices
We may change prices by giving you at least 30 days' written notice. Changes do not affect Anchor Points already reached or Credits already bought.
8. No guarantee of results
We work hard to get you results, but we do not guarantee any number of replies, Anchor Points, callbacks, sales or revenue. Results depend on many things outside our control, including the age and quality of your list, your industry, your offer and how your team follows up. Figures and example conversations on our website are illustrative only. On the Performance plan you pay only for Anchor Points actually reached.
9. Your data
You own your Lead Data. You give us a licence to use it only to provide, support and improve the Service for you, to keep opt-out records, and as required by law. We do not sell Lead Data, use it to market to Leads for anyone else, or use it to train AI models. We may use anonymised, aggregated statistics that do not identify you or any Lead, for example average reply rates. We handle personal information as set out in our Privacy Policy, and we keep information confidential except as needed to provide the Service or as required by law.
When your account ends, you can ask us for an export of your Lead Data within 30 days. We delete Lead Data within 90 days after your account ends, except opt-out records and anything we must keep by law (such as billing records).
10. Acceptable use
You must not use the Service, or ask us to use it, to: send messages without the consent required by law; contact people who have opted out; send misleading, offensive, threatening or unlawful content; harass anyone; impersonate another business; collect information you are not entitled to; or interfere with, copy, reverse engineer or attempt to bypass the security of the Service.
11. Third-party services
The Service relies on providers including Twilio (SMS and calls), OpenAI (AI), Supabase (hosting and database), Stripe (payments) and Resend (email). Their outages or changes can affect the Service, and we are not responsible for them except as required by law. Messages can occasionally be delayed or fail to deliver for reasons outside our control, including carrier filtering.
12. Intellectual property
We own the Service, including its software, prompts, templates and branding. You own your Lead Data and your own branding, and you give us permission to use your business name in messages sent for you. Scripts we write for your campaign may be used for your campaign; our templates remain ours.
13. Australian Consumer Law
Nothing in these Terms excludes, restricts or modifies any right or remedy, or any guarantee, warranty or other term or condition implied or imposed by the Competition and Consumer Act 2010 (Cth), including the Australian Consumer Law, that cannot lawfully be excluded or limited ("Non-Excludable Rights"). Where we are allowed to limit our liability for a breach of a Non-Excludable Right, our liability is limited, at our option, to supplying the services again or paying the cost of having them supplied again.
14. Limitation of liability
Subject to your Non-Excludable Rights, and to the maximum extent permitted by law: (a) we are not liable for any indirect or consequential loss, or for loss of profits, revenue, data, goodwill or business opportunity; and (b) our total liability arising out of or in connection with the Service and these Terms is limited to the fees you paid us in the 12 months before the event giving rise to the liability. This does not limit liability that cannot be limited by law, including for fraud.
15. Indemnity
You indemnify us against all loss, damage, liability, penalties, costs and expenses (including reasonable legal costs) arising from: (a) your Lead Data, including any claim that a Lead did not consent to be contacted; (b) your breach of these Terms or any law, including the Spam Act 2003 (Cth) and the Privacy Act 1988 (Cth); or (c) scripts, offers or content you provided or approved. This indemnity is reduced to the extent the loss was caused by our own breach or negligence.
16. Suspension and termination
Either of us may end the Service by giving 14 days' written notice, unless your Order sets a different term. We may suspend or end the Service immediately if you breach these Terms in a serious way (including section 4), do not pay amounts due, or if we reasonably need to in order to comply with law or protect the Service, our phone numbers or other clients. When the Service ends, introductory messages stop, conversations already underway may be closed politely, and amounts for Anchor Points already reached remain payable. Sections that by their nature should survive will survive.
17. Demo bookings
Demos are free and carry no obligation. If you book one, we will contact you about it using the details you give us, as described in our Privacy Policy.
18. General
We may update these Terms. We will give you at least 30 days' notice of changes that materially affect you, and continuing to use the Service after that means you accept them. These Terms, with your Order and our Privacy Policy, are the whole agreement between us about the Service. If part of these Terms is unenforceable, the rest still applies. These Terms are governed by the laws of Queensland, Australia, and both of us submit to the non-exclusive jurisdiction of its courts.
